Saudi Arabia Unveils New Legislation to Streamline Business Registration and Trade Name Processes

Saudi Arabia has introduced transformative new regulations aimed at simplifying business processes, such as commercial registration and trade name management. These changes are seen as a “game-changer” for entrepreneurs, aligning with the Kingdom’s Vision 2030 initiatives to enhance the business environment and attract both local and international investments.

New Law to Streamlining Business Registration and Growth

The new laws, approved in September, will take effect within the next few weeks. The main objective is to enhance business efficiency by simplifying the registration process and fostering a more business-friendly environment. Minister of Commerce Majid bin Abdullah Al-Qasabi has emphasized that the new reforms will provide a unified national registration system, reducing complexity and delays. This change is expected to speed up the registration process, allowing entrepreneurs to focus more on growth and less on navigating bureaucratic red tape. As a result, the number of new commercial registrations has surged, with 104,000 registrations recorded in Q1 2024, marking a 59% increase from the previous year.

Women entrepreneurs have already made significant strides, accounting for 44% of new business registrations in the first quarter of 2024. Strengthening Intellectual Property and Ensuring Fair Competition

One of the key aspects of the new regulations is the enhancement of intellectual property protection. The new Trade Names Law introduces clear guidelines for protecting and managing trade names, making it easier to reserve, transfer, and protect them. It also ensures that businesses cannot register similar names across different industries, fostering fair competition and enabling businesses to build strong, unique brands. These changes are expected to help businesses grow both domestically and internationally, ensuring a level playing field in the Saudi market.

Simplifying Dispute Resolution and Tax Reforms

The new legal framework also streamlines dispute resolution by encouraging alternative methods such as mediation and arbitration, which reduce the burden on courts and provide businesses with greater flexibility. Furthermore, the introduction of a 5% real estate ownership transfer tax, replacing the previous 15% VAT on real estate sales, is expected to reduce financial burdens and encourage investment. Exemptions for specific transactions, such as inheritance distribution and charitable transfers, will further stimulate market activity. These tax reforms aim to promote transparency in the real estate market and align with broader economic diversification efforts.

Preparing for the Transition: A Five-Year Grace Period

To ease the transition to the new regulations, businesses have been granted a five-year grace period to transfer or cancel existing sub-registers. Legal experts advise businesses to assess the potential impact of these changes on their identity and operations. Engaging with legal and business advisors is crucial during this period to ensure smooth compliance with the new requirements.
